About Jivesh Chandrayan
He has rich transactional experience, having led teams during due diligence, advising on financial, regulatory, and exchange control laws of India, signing of definitive agreements, and negotiations for closing. He has provided strategic advisory on complex issues of employment law including employee retention and transfer (including top-tier management personnel) in M&A/JV transactions, incentivization through earn-outs and ESOPs, employment contracts tailored for high-level-executives and board members, and handheld clients through workforce rationalization exercises. He has represented several clients in employment disputes and led the drafting of comprehensive employment policies, manuals and their implementation (including Prevention of Sexual Harassment (POSH) policies). He also has extensive experience in advising clients on issues of data protection, privacy, and all other aspects of Indian Technology laws.
Jivesh has represented clients across diverse industry sectors like IT/ITeS, Technology, Geo-spatial, Telecom, Fintech, Defence & Aerospace, Manufacturing, Engineering, Electronics, Tourism, Medical & Healthcare, Mining, Apparels/Textile, Facility Services, Renewable Energy, Energy Asset Management and Estate Planning. The clients he has advised range from large multinational corporations including Fortune500 companies to early-stage startups. Prior to joining LKS, Jivesh was leading the general corporate and employment practice at HSA Advocates and was a key partner at Kochhar & Co in the corporate practice. Prior to that Jivesh led his own law firm JDS Lawchambers with corporate & commercial law practice in India and Bangladesh.

Infobip in relation to comprehensive due diligence support from the buy side (foreign investor) of the target company consisting of 15 Pvt. Ltd. companies and 7 LLPs; in relation to the “Regulated Entities” requirement of taking cloud services from MeitY empanelled and STQC audit compliant entities; drafting all data and tech related policies on the basis of the applicable law and industry best practices; handholding the client through all stages of termination of workmen and non-workmen; drafting, review, and follow ups on Cease-and-Desist notices for the breach of Restrictive Covenants by ex-employees.

Mytrah Energy in relation to the sale of its portfolio of 1753 MW of renewable energy generation capacity to an Indian renewable energy conglomerate. The deal comprised sale of 17 SPVs, 1 ancillary SPV, and an additional 12 SPVs. The estimated deal value was 1.2 billion USD, the highest till date in the country comprising the power portfolio of 1.7 gigawatts of renewable energy. Advised the client on (i) structuring the transaction; (ii) relevant vendor legal due diligence (iii) drafting, reviewing, amending, negotiating and finalizing the transaction documents; (iv) settlement with FPI and institutional lenders; and (v) assisting in execution and closing with the buy side.

TSIL in relation to risk identification and taking counter measures under various fintech vendor contracts and service level agreements in light of the liability accruing on the company from a financial fraud committed by one vendor.
